Terms and Conditions

This Agreement (the “Agreement”) is a legal contract between you (an individual or entity, referred to as “You”) and Verbix.ai (referred to as “the Company” or “Verbix.ai”). It governs your limited, non-exclusive, and terminable right to use the Verbix.ai website and related services (the “Site”), the servers hosting the Site, and the computer files stored on those servers (collectively, the “Service”). Verbix.ai operates the product described as the Service.

By using the Service, you agree to be bound by the terms of this Agreement.

Amendments: Verbix.ai may update this Agreement from time to time. Any amended terms take effect on the earlier of: a) The day you use the Service, or b) 10 days after the updated terms are posted on the Site.

Your continued use of the Site or Service after the effective date of modifications constitutes your acceptance of the updated Agreement. Notice of modifications posted on the Site is considered sufficient notice.

Eligibility: You warrant that you are at least 18 years old (or the applicable age of majority in your jurisdiction) and have the legal capacity to enter into this Agreement.

User Accounts: You may invite two types of users to your Verbix.ai Service:

1. Services Offered by Verbix.ai

Verbix.ai provides tools to analyze voice calls made through third-party phone systems or video conferencing solutions.

Please note that Verbix.ai is not a phone service provider and does not replace any phone lines—whether wired, wireless, or Internet-based. The Service is designed to help you analyze audio and video calls made by your agents, enabling you to coach and train your team effectively.

Importantly, the Verbix.ai Service does not support surveillance of calls without the knowledge of your users. It is your responsibility to inform your Users that the Service is only for official calls and for training or mentoring purposes.

Since the Verbix.ai Service depends on your third-party VoIP or video service, any limitations in that service may also affect how you can use Verbix.ai.

2. Quality and Maintenance

Verbix.ai will make reasonable efforts to provide the Service with minimal disruptions. However, we cannot guarantee that the Service will always function without interruptions, delays, or other imperfections. Because the Service is transmitted over public internet lines and the public switched telephone network, factors like power outages or internet disruptions may occasionally affect the quality of your communications, such as causing packet loss or delays.

Verbix.ai may update or change technical features to keep up with technological developments, meet user needs, or comply with applicable laws. Additionally, we may need to repair, improve, or upgrade the Service, which could require us to restrict, limit, suspend, or temporarily interrupt the Service at our sole discretion.

3. Limited License

Verbix.ai grants you a limited, revocable, non-exclusive, and non-transferable license to use the Service for your personal, enterprise, or limited commercial purposes, in accordance with this Agreement.

You agree to the following restrictions:

• You may not resell the Service.
• You may not modify, reverse engineer, decompile, or disassemble any part of the Service.
• You may not copy, adapt, translate, or create derivative works of the Service without written permission from Verbix.ai.
• You may not use the Service for illegal purposes or to transmit unlawful material.
• You may not rent, lease, loan, sublicense, distribute, or otherwise transfer rights to the Service.
• You may not bypass or disable any technological protections.

Violation of any of these restrictions will immediately terminate your license to use the Service.

4. Use of Verbix.ai

You are responsible for everything that happens through your Verbix.AI account. Prohibited activities include, but are not limited to:

• Violating laws or regulations
• Infringing intellectual property or privacy rights
• Transmitting illegal, abusive, harassing, racist, hateful, or obscene content
• Selling, trading, reselling, or exploiting your Verbix.ai account
• Impersonating another person
• Engaging in fraudulent or harmful activity

You and your Administrators must comply with this Agreement.

5. Pricing and Billing

• A free trial is available initially
• Paid plans require a credit card payment
• You authorize Verbix.ai to charge your card on a recurring basis
• Late payments may incur 5% monthly fee
• Taxes (GST, VAT, etc.) are charged additionally
• Disputed invoices must be raised within 10 calendar days
• Mobile data and roaming charges may apply for app usage

6. Fair Use Policy

Unlimited usage plans are intended for normal business use only. Verbix.AI reserves the right to suspend or terminate accounts that violate fair usage policies.

7. Proprietary Rights

All content, trademarks, and intellectual property associated with the Service are owned by Verbix.AI. Any unauthorized reproduction or use is strictly prohibited.

8. Refund Policy

Refunds are only offered in limited cases:

• Duplicate payment
• Charges made after account cancellation
• Service fee charged during the initial trial period

No refunds for offers, promotions, or unused transcription credits.

9. Content License

You grant Verbix.ai a non-exclusive, worldwide, perpetual, royalty-free license to use any content or feedback you provide.

10. Disclaimer

The Service is provided “as is.” Verbix.AI makes no warranties, whether express or implied, including any warranty of fitness for a particular purpose or that the service will be error-free.

11. Limitations

Verbix.ai’s liability is limited to $100 in all cases. Verbix.AI is not responsible for any indirect, consequential, or punitive damages.
